Terms of Service

1. Agreement

These Terms of Service (Terms) govern your access to and use of the Matrix OS platform and services provided by MatrixAI FZE (we, us), registered at SRTIP, Sharjah, UAE. By using the platform you agree to these Terms.

2. Licence

Subject to payment of applicable fees and compliance with these Terms, we grant you a non-exclusive, non-transferable licence to access and use Matrix OS for your internal business purposes during the subscription term.

3. Your obligations

  • Keep login credentials confidential and notify us of any unauthorised access immediately.
  • Use the platform only for lawful purposes and in compliance with applicable laws.
  • Not attempt to reverse-engineer, decompile, or extract source code from the platform.
  • Not resell or sublicense access to third parties without our written consent.

4. Intellectual property

All intellectual property in the Matrix OS platform, documentation and IoT hardware designs remains owned by MatrixAI FZE or its licensors. These Terms do not transfer any ownership rights to you.

5. Data

You retain ownership of all data you input into the platform. We process that data as a data processor on your behalf, in accordance with our Privacy Policy and any applicable data processing agreement.

6. Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. Planned maintenance will be notified in advance where reasonably practicable.

7. Limitation of liability

To the maximum extent permitted by law, our total liability arising from or in connection with these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential or loss-of-profit damages.

8. Governing law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Emirate of Sharjah.

9. Changes

We may update these Terms. Continued use of the platform after notice of changes constitutes acceptance of the updated Terms.
